Howard Topel has practiced communications and corporate law for over 40 years. His practice focuses on the representation of television and radio broadcasting companies and venture capital funds that invest in communications properties, and involves all areas of broadcast law, including regulation, adjudication, and transactions.
Howard makes a concerted effort to be familiar with and sensitive to his clients’ business objectives and circumstances, and uses his regulatory and industry knowledge and contacts to his clients’ advantage. He devises creative business structures and transactions to enable clients to achieve their goals in complex regulatory contexts.
Howard has drafted and reviewed countless agreements and other documents for acquisitions, sales, mergers, financings and re-financings, equity capitalizations, security interests, settlements, and business structurings and formations. Howard has worked with clients, FCC regulators, broadcast engineers, consultants, and other industry participants on numerous applications to obtain administrative approvals, to ensure clients’ compliance with legal requirements, and to reach successful solutions to routine and vexing regulatory concerns.
He also ha represented numerous venture capital funds with respect to their investments. In addition to counseling on transactions and preparing loan, equity, and security instruments, he concentrates on overcoming any hurdles standing in the way of difficult transactions, enabling clients to realize their entitled benefits.
