Integrated with the firm's Mergers & Acquisitions practice, the firm provides a comprehensive range of legal and advisory services for various stages of a business entity's development that pertains to all types of entrepreneurs, including venture and private equity capital firms, financial services firms, portfolio companies, and new entrants. Entrepreneurs are involved in non-traditional transactions that present unusual elements of risk and engender distinct concerns among investors and principals that differ from those involved with established ongoing enterprises, such as transaction timing, equity stakes, rates of return, performance incentives, and interim operating and financing measures. We frequently represent and advise clients in syndicated and other multi-party transactions that may involve parties with divergent interests and, therefore, have developed an expertise in drafting documents that cross-collateralize and prioritize assets among parties.

Representative Matters

  • Represented minority business founder of PrimeCo PCS divestiture acquisition from Verizon Wireless for a record-breaking minority equity investment
  • Represented a syndicate of five venture capital funds in successfully consummating a multi-million dollar refinancing of a portfolio company, including a substantial payout to investors, and in negotiating and executing definitive agreements to implement a proper exit strategy
