Lerman Senter clients benefit from the firm's broad and varied transactional and financing practice, which permits us to service client needs in the acquisition, merger, sale, leasing and financing of broadcast, satellite, cable, wireless and other telecommunications and media-related properties, as well as handle all organizing, filing and reporting requirements for the establishment of a business entity. The firm serves as counsel for various corporations and trade associations. A special component of the corporate practice area is the firm's Entrepreneurial Ventures Practice, which has specialized expertise in transactional and investment matters pertaining to small, minority and women-owned businesses.

Through many years of experience representing multinational corporations, venture capital investors, group and individual licensees and entrepreneurs in start-up and early stage enterprises, we are uniquely qualified to address both traditional transactions and those transactions that present elements of risk, which are often "outside the box" of standard commercial investing. Our transactional representation includes developing, negotiating, drafting and implementing organizational structures, equity instruments, purchase and sale agreements, security documents, resolutions and other similar commercial documents.

Our clients benefit from the firm's ability to integrate our expertise in regulatory matters with our corporate transactional and business experience. We have represented clients in hundreds of asset and stock transactions for radio, television and cable companies as well as billion-dollar mergers involving multinational corporations with vast entertainment holdings. As noted above, the firm also has extensive experience in negotiating, drafting and implementing employment and talent contracts, sports rights agreements, syndication agreements, programming, sales and license agreements, and a host of related business documents.

Representative Matters

  • Negotiated directly, or assisted other counsel with respect to, hundreds of major broadcast transactions, including some of the largest acquisitions and sales in the history of the industry
  • Acted as lead regulatory counsel on a $600 million television station group sale and network reorganization and sale
  • Assisted in the implementation of a public stock offering and subsequent leveraged buyout of one of the largest radio broadcast companies in the United States
  • Represented several members of the National Association of Investment Companies (NAIC), a trade association for minority-owned/controlled or minority business-focused venture capital and private equity firms, in equity and debt investments across various telecommunications fields
